GENERAL BUSINESS CONDITIONS AND CUSTOMER INFORMATION FOR GERMANY AND AUSTRIA OF WHEY ORGANIC COSMETICS – A BUSINESS UNIT AND REGISTERED TRADE MARK ™ OF GLOBAL CONSULTING COMPANY GMBH FOR ONLINE-SALES

1. TERMINATION OF CONDITIONS

1.1 WHY ORGANIC COSMETICS (Global Consulting Company GmbH, P.O. Box 1165, D-82025 Grünwald/Munich, Germany) hereinafter referred to as "WHEY ORGANIC COSMETICS", carries out orders from customers (hereinafter referred to as the "Customer") in the WHEY ORGANIC COSMETICS Onlineshop on the basis of the following conditions.

1.2 The current version of these conditions shall always apply at the time of ordering. The terms and conditions can be downloaded and printed at the homepage of our service provider.

1.3 WHY ORGANIC COSMETICS/GCC GmbH has commissioned the payment service provider Paypal (PayPal (Europe) S.à r.l., 22-24 Boulevard Royal, 2449 Luxembourg) to accept the customer's payment. PayPal is however only an external payment service provider, not a seller of the goods. PayPal's payment service is used by the customer at no extra cost. The customer has to agree to PayPal's activities, in particular the collection and processing of his order and payment data. PayPal's Terms of Business and Privacy Policy can be viewed on their homepage, downloaded and printed. (Privacy Policy, GTC)

2. OFFER AND TREATMENT OF CONTRACT

2.1 The WHEY ORGANIC COSMETICS assortment in this onlineshop is used to submit a purchase offer from the customer (order). The order process in the WHEY ORGANIC COSMETICS onlineshop runs as follows, whereby the contract language is German or English and the essential characteristics of the goods are listed in the respective article description: The customer can select WHEY ORGANIC COSMETICS products and put them into the shopping basket. The selection is made by clicking the "Add to Basket" button, although this is not yet a binding order. Selected products can be removed from the shopping basket at any time.


The order process takes place from the shopping basket in the following steps:

The customer has to provide the invoice address as well as a possibly different delivery address (also in the form of a DHL packing station or post office), the fields marked with the symbol * must be filled. By clicking on the "Next" button, the customer goes to the next input mask or overview. The customer then chooses the shipping method and the payment method. The customer can check the selected products and entered data on the following overview "Order overview". The customer then submits a binding request for the purchase of the goods in the shopping basket.

By clicking on the "order for payment" button and before sending the order, the customer can change the products, their quantities as well as the customer, delivery and payment data at any time by the customer directly the respective linked terms directly clicks or - with a termination - the browser window or the link "Your shopping basket edit "at the bottom of the page. However, the order can only be submitted and communicated if the customer accepts these terms of contract. 2.2 WHEY ORGANIC COSMETICS stores the contract text of the incoming order and, upon receipt of the order, sends an automatic acknowledgment of receipt by e-mail in which the customer's order is re-listed and which the customer can print out using the "Print" function. The automatic confirmation of receipt only documents that the order has been received by the customer at WHEY ORGANIC COSMETICS and does not constitute acceptance of the application. The contract is only concluded by the delivery of the declaration of acceptance by WHEY ORGANIC COSMETICS, which is sent with a separate e-mail ("Shipping Notification"). If, contrary to this, no order confirmation or acceptance declaration is made, WHEY ORGANIC COSMETICS shall accept the order at latest by delivery of the ordered goods.

3. PRICES AND PAYMENT

3.1 All prices include the statutory value-added tax and other price components and are plus shipping costs (different costs for different countries). All quotations are based on the number of specified products and quantity in total. No other taxes or charges will be charged.

3.2 Payments are accepted by means of credit card (VISA, MasterCard, UnionPay, American Express, Discover Network) and PayPal, whereby this payments are made by the PayPal payment service provider whose terms the customer must agree to issue a binding order. In the case of payment by credit card, the customer's account is debited at the time of order.

4. DELIVERY AND SHIPPING COSTS

4.1 The offers as well as indicated prices in the onlineshop are limited to only one sale and a delivery within Germany and Austria.

4.2 Find our shipping conditions and delivery cost in our shipping and delivery spreadsheets.

4.3 The choice of the means of dispatch and of the dispatch route is left to WHEY ORGANIC COSMETICS, whereby WHEY ORGANIC COSMETICS usually dispatches with DHL, in particular if the customer wishes a dispatch to a certain DHL-Packstation or Postfiliale.

4.4 Delivery within Germany takes place within 2 - 3 business days, to Austria within 2 - 3 business days.

5. PROPERTY RETENTION

5.1 The goods delivered remain the property of WHEY ORGANIC COSMETICS until full payment of the purchase price.

5.2 In the case of access by third parties, in particular in case of seizures and confiscation, the customer must thereof immediately notify WHEY ORGANIC COSMETICS. The third party has to be immediately informed referring to the reservation of title.

6. WARRANTY

The statutory warranty rights exist for the articles offered in the onlineshop.

7. REVENUE LAW

7.1 If the customer is a consumer, he is entitled to a fourteen-day cancellation right according to the following instruction. The customer is a consumer insofar as the purpose of the ordered products and services can not be attributed to his commercial or independent professional activity. On the other hand, entrepreneur is any natural or legal person or legal company who is acting in the exercise of his commercial or independent professional activity when the contract is concluded.

Cancellation

You have the right to revoke this contract within a period of fourteen days without giving reasons. The period of revocation shall be fourteen days from the date on which you or a third party you designate, which is not the carrier, has taken possession of the last product. In order to exercise your right of revocation, you must contact us (Global Consulting Company GmbH, Business Unit WHEY ORGANIC COSMETICS, P.O. Box 1165,D-82025 Grünwald/Munich, Germany), telephone: +49 (0) 7231 41846-52, fax: +49 (0) 7231 41846-53, e-mail: [email protected]) by means of a clear statement (eg. a letter send by mail or fax or pre-announced by a certified e-mail) about your decision to revoke this contract. You have to explain a revocation form after §355 BGB by German law. In order to keep the revocation period, it is sufficient that you send the notification of the exercise of the right of revocation before the end of the revocation period (incoming at WHEY ORGANIC COSMETICS within 14 days).

Consequences of revocation

7.1 If you revoke this agreement, we will pay you all the payments we have received from you, including the costs of delivery (except for the additional costs resulting from the fact that you have chosen a different type of delivery than the most favorable standard delivery offered by us) within a period of fourteen days from the date on when the notice of revocation of this contract has been received by us. For such repayment, we will use the same means of payment that you have used in the original transaction, unless you have expressly agreed otherwise. In no case you will be charged for these repayment fees. We may refuse the refund until we have recovered the goods or until you have proved that you have returned the goods, whichever is earlier. You have the goods immediately and in any case at the latest

You are obliged to return or hand over to us at latest within two weeks from the date on which you inform us of the revocation of this agreement. The deadline is respected if you send the goods before the end of the deadline of 14 days. We bear the costs of returning the goods till an amount of €7.90 (Standard Versand). You are liable for any loss in value of the goods if this loss in value is attributable to a handling which is not necessary for the purpose of checking the quality, characteristics and functioning of the goods.

7.2 The right of revocation does not apply to remote sales contracts for the delivery of sealed goods, which are not suitable for return for reasons of health or hygiene, if their seal has been removed from the customer after delivery.

7.3 Also, if product packages or cartons or product containers have been opened or damaged or when the goods can not be resold.

8. FINAL PROVISIONS

8.1 The European Commission provides a platform for online dispute resolution (OS), which can be found at http://ec.europa.eu/consumers/odr/. Global Consulting Company GmbH is not obligated or willing to participate in a dispute settlement procedure before a consumer sacking office.

8.2 Should one or more provisions of these General Terms and Conditions be invalid, the remaining provisions shall remain valid. The relevant statutory provisions shall apply in place of the invalid provision.

You can pay your order in our onlineshop with the following payment methods. The transfer of your data takes place, of course, via a secure connection (SSL encryption) - depending on the Internet browser you use, you will see a green lock symbol in the address bar.

In the case of a negative examination, we reserve the right to accept your order only in other forms of payment. Pay easily and conveniently with you PayPal account. After finishing your order you will be routed to PayPal website and you pay there simple and secure. You PayPal will be credited at the moment of ordering.

With your creditcard, you also pay conveniently and secure. In the ordering process your credit card data - credit card number, expiry date of the card and security code (on the back of the card) are queried by the payment service provider. Your credit card account will be charged upon delivery of the order.

ONLINESHOP SHIPPING AND DELIVERY

The offers as well as indicated prices in the onlineshop are limited to a sale and a delivery within Germany and Austria.

The shipping and packaging costs are € 10.90 for delivery to Austria. We ship free of charge from € 150,00 to Austria.

All our products, we ship outside of Germany and Austria, are non-returnable items.

Refunds

WHEY ORGANIC COSMETICS ® will not pay for refunds because all our products we shipped outside of Germany and Austria, are non-returnable items.

Exchanges

All products are sealed and protected against leakage. For reasons of hygiene, product liability and safety (e.g. general contamination or contamination by microorganisms or harmful substances) etc., our products are generally not returnable. There is no possibility for exchanges or redemption.

SHIPPING

International customers may be subjected to additional taxes, duties, or tariffs upon delivery. Unfortunately the WHEY ORGANIC COSMETICS ® team has no control on how these local fees are calculated or assigned. WHEY ORGANIC COSMETICS ® is not liable for any additional costs that may be incurred after the item has been shipped. Please consult your local post office for more information.

HOLIDAY DATES

Final orders will be sent out on 20th December - orders need to be placed by 2pm Central European Time (CET) on 19th December to be included in this shipment. Delivery by Christmas Day can not be guaranteed.

Any orders placed AFTER the 20th of December will be sent out beginning 9th January.
